CommTouch and holders file to sell 3 mln shares
WASHINGTON, March 6 (Reuters) - CommTouch Software Ltd. (NASDAQ: CTCH), a provider of e-mail services over the Internet, filed on Monday to sell 1,669,000 shares of common stock while some of its stockholders filed to sell 1,331,000 shares.

The company said it would use the proceeds from the offering to expand sales and marketing activities, for capital spending, expand research and development activities, expand international operations, working capital and other general corporate purposes, according to a prospectus filed with the Securities and Exchange Commission.

The Israeli-based company would gross close to $100 million based on its closing share price today of 59-1/4, down 2-5/8 for the day on Nasdaq.

CommTouch said it would not receive any of the proceeds from the sale of shares by stockholders.

The underwriters, led by U.S. Bancorp Piper Jaffray, have been granted the option to purchase an extra 450,000 shares to cover over-allotments in the event of heavy demand.
