The shareholder rights plan won't be an issue. If you look at the agreement between HHl and shnos owners, (The agreement was published by the court in the monitor's report of Oct 12, 1999) there is a clause that says the shareholder rights plan will be amended prior to closing. Obviously shareholders will have to approve this when they vote on the deal prior to closing.

has anyone heard anything about how the meeting in london went between hhla and shnos?....i believe they were taking off their clothes and letting each other in on the books for their impending marriage(mar 6-7 was the meeting date)
