The government tried to get Jefferies once before on a "stock manipulation" charge, but these things are hard to prove, and the various market players know that. With the magnitude of money involved, I think it involves the standard question of what is the greater risk... the SEC or several million dollars.

All of the "houses" use the ratings game to their own advantage, so the SEC is faced with the dilemma of which kettle has the bottom with the greater carbon deposit... and they all have it to some degree. To me, the Jefferies deal was particularly glaring, considering that it occurred on the morning following an intra-day reversal on very heavy volume. JMO
