Mike,

There is a policy that makes more sense to me, give current shareholders shares in the IPO rather than the right to purchase shares at the IPO price. If you have an equity position in the original company, and that position will be affected by the spin-off of one of more IPOs-it is fairer to get actual shares of the IPO. If marketing the IPO is a concern this can be accommodated by the ratio of IPO shares to shares of the original company held.

An example would be Agilent spinning off from HP. HP shareholders did not get to purchase A at the IPO price, but sometime this summer will get about one share of A for every 3 shares of HP they currently own.
