First Street, San Jose, California for the following purposes: 1. To elect two (2) directors to serve until the 2003 Annual Meeting of Stockholders and until their successors are duly elected and qualified. 2. To ratify the appointment of Arthur Andersen, LLP as independent auditors of the Company for the fiscal year ending October 28, 2000. 3. To amend the Company's Certificate of Incorporation to increase the authorized number of shares of Common Stock from 200,000,000 shares to 400,000,000. 4. To transact such other business as may properly come before the Annual Meeting, including any motion to adjourn to a later date to permit further solicitation of proxies if necessary, or before any adjournments thereof.
