INTERNATIONAL SALES INFORMATION SYSTEMS INC - To Acquire Wireless Software Company Story Filed: Thursday, March 16, 2000 12:39 AM EST URL: library.northernlight.com Vancouver, BC, Mar. 16, 2000 (Market News Publishing via COMTEX) -- International Sales Information Systems Inc. announced that it has agreed, subject to Board and regulatory approvals, to acquire Versatile Systems Inc. of Seattle, WA ( www.versatile-systems.com). Versatile had 1999 revenues of US $9.2 million (unaudited). The total purchase price of US $11.2 million is to be paid in a combination of cash and ISIS shares. The agreement calls for a cash payment to Versatile of US $4.7 million on closing. The remainder of the purchase price will be met by the issuance of 2,450,000 ISIS shares priced at CDN $4.00, which will be held in escrow over a three year period. The transaction is expected to close by May 31, 2000. Versatile develops wireless software and hardware solutions which enable businesses to manage mobile delivery logistics for B2B and B2C in the new economy. Versatile was recognized as the 260th fastest growing private company in the United States based on the 1999 Inc. 500 list. Its suite of products addresses the needs of corporations to automate the mobile worker in areas such as e-commerce web delivery, courier, freight, and field dispatch.
