In September 1998 TELV invested $1M in mySimon.com, an Internet comparison shopping company. mySimon was recently bought by CNET Networks (NASDAQ: CNET). In exchange for its interest in mySimon, TELV will receive 375,000 shares of CNET. The transfer is currently being done. The shares are freely tradeable and can be sold three days after the release of earnings for CNET for the quarter ended March 31,
2000.

CNET closed today at $59. Accordingly, the present value of TELV's 375,000 shares is $22,125,000.
