re:"not many people really expect this transaction to take place." I considered that as well, however, I have seen nothing to intimate that the deal is not completely secure and on-track. I will call PAIR to inquire directly.

I think the (spread)issue is due to the fact that the closure of the deal isn't expected until Q3 ~July. That is a relatively long time to wait to realize the premium which as you know is about 4 1/2 bucks at the moment!

Conversely, I think PAIR shares represent a heck of a value at the present price. The premium's there, I can be very patient (PAIR taught me well), and am looking for the gap to close over the coming months. Just hope ADCT keeps on cooking the way it has been lately!

Some further info. from IR @ Pairgain:

Earnings release date is April 13 after the bell.

Proxies will be mailed to shareholders in early to mid May.

A Q&A will posted on the company website at that time.

The ADCT transaction is expected to close in late July.

Sure looks smells and feels like ADCT/PAIR is moving forward as planned.

Could it be possible that PAIR shares just represent a good, possibly "great" value?

Hey! What's the matter you. (Please, please fellow PAIR sufferers correct me if I am wrong). The ADCT deal will be a done deal because it is only subject to share holders approval, which I doubt will be withheld ( that would be really stupid).

Secondly, in case ADCT decides to bolt, I am pretty sure that there is a significant penalty. If you disagree please let me know. I have not done the research on this, but maybe one of you know this of the top of your hat, i.e. in terms of what the penalty would be if ADCT would pull out of the deal. Thank you for any response to this.
