I think the best reason Microsoft has for settling has to do with the best reason the DOJ also has for settling. Given the current climate of the courtroom DOJ has almost everything to lose and little to gain from the appeals process. As for the time required to endure that process, time is on Microsoft's side because it delays most action against the company. Having extra time does nothing for DOJ.

Microsoft knows its case is being viewed rather weak by the judge right now. It can strengthen the outcome by forcing DOJ to agree to stuff that looks good now but might lose in the appeals process. In the end, settlement would probably be best for both sides.
