My understanding is, and I have an article from the Globe & Mail which supports this, that a company is considered private if it does not trade on the major exchanges. To quote the article:

"... must be a Canadian controlled private corporation (which will include your shares on the CDN so long as the company is resident in Canada, is not controlled by foreigners or a public company, and is not also traded on one of the five major stock exchanges in Canada)."
