Terms of the Metamor deal call for PSINet to issue 39.9 million shares, with Metamor shareholders getting 0.9 of a PSINet share for each Metamor share. The exchange is equal to $44.55 a share based on PSINet's closing Nasdaq price on Tuesday of 49-1/2, or nearly three times Metamor's closing price on Tuesday and a 7 percent premium over its 52-week high of 41-5/8. Metamor and Xpedior shares surged. Metamor more than doubled, rising 17-3/4 to 33-3/4, making the stock the top percentage gainer on the Nasdaq.
