It is not uncommon for a company to maintain control of a spin off or to maintain their 'investment' in the company. See for instance Oracle and their IPO for Liberate. That said, I have no idea what TYC plans if/when these spinoffs occur. Avista (AVA) appears poised to spin off their B2B play and their fuel cell company and people are starting to move into that stock in anticipation but no details on how shareholders would be treated in that case either.

Mang,

If you are long term, then TYC holding the 80% is good for you because it will make a stronger Tyco and allow it via the 20% IPO to fund additional activities.

Offering the shareholders the 80% sounds great and may be good for a quick pop, but does nothing for the longer term. I hope shares are NOT distributed since I want this company to continue doubling every couple of years.
