Thu 23 Mar 2000 Acquisition
The Canadian Venture Exchange has accepted for filing a letter of intent
dated Feb. 29, 2000, between the company, Hospitality Data Systems Inc. and
Randy Cartlidge with respect to the purchase by the company of all of the
assets of HDS. The consideration will be as follows: (a) a total cash
payment of $200,000 (U.S.) over 12 months; (b) 115,200 shares over two
years; (c) such number of common shares of the company is equivalent to the
total value of HDS' inventory and furniture and fixtures as at Feb. 29,
2000. Furthermore, the company shall issue 50,000 common shares to Randy
Cartlidge in the event that revenues of the purchased business of HDS
exceed $1-million (U.S.) in the first 12 months following the completion of
the acquisition.
