The first order of business after the merger?

..... that we the Corel shareholders are not stupid, and after witnessing how incredibly Fuller trashed his own INPR shareholders, the new Chairman is hence voted, unanimously, the Chairman emeritus effective immediately, i.e. dont let him do any deal for us heaven forbids!

Does that mean you would want the combined companies to be run by Cowpland without anyone else having any chance of controlling him?

I agree that Fuller seems to have really messed up by getting us into this situation but would you rather be led by Cowpland, unrestrained by anyone else? (I'm still waiting for after the quiet period to become convinced that this is good for Inprise shareholders and for the company---but I think that the odds of that are even lower than you had for Cowpland calling of the deal.)

(1) Fuller and the BOD calls off the deal, with or without penalty?

I consider the likelihood of this event to be increasing daily. If the ratio is modified, things could change, but this seems very unlikely given Cowpland's statement last week; he may as well hold firm, collect the bailout fee, and be happy with the result.

Fuller & the Board are facing extreme difficulty. If they go through with this deal, bringing the shareholders half or less than the value immediately before the announcement, they are going to have a lot of explaining to do.

I see this issue differently from you: Fuller & the Board are a hell of a lot more likely to call the deal off than Cowpland is to negotiate on the ratio. There will not be another buyer, I don't think.
