Casey G. Cowell, Vice Chairman of 3Com Corp., Joins XOR Inc.
Board of Directors

U.S. Robotics Co-founder Adds Name to World-Class Board
Chaired by Former SHL Systemhouse Chairman and CEO John Oltman

BOULDER, Colo., March 28 /PRNewswire/ -- XOR Inc. today announced the
appointment of Casey G. Cowell, vice chairman, 3Com Corp., to its board of
directors.

A respected industry expert, Cowell co-founded U.S. Robotics in 1976 and
headed the company, which became one of the world's leading suppliers of data
communications products and systems, from its inception until its $8 billion
merger with 3Com Corp. in June 1997. Cowell was named one of "25 Top
Managers" in the world by Business Week in 1995 and "Executive of the Year in
1996" by Crain's Chicago Business. For his achievements in leadership
excellence, Cowell was inducted into the Entrepreneurship Hall of Fame at the
University of Illinois at Chicago, where he also received the Dean's Award.
"We have assembled a world-class board and senior management team at XOR,
which was a significant factor in our ability to attract a member of Casey's
caliber to our board," said President and CEO Greg Jacobsen, who is also a
member of the board.

XOR Board Provides Industry Leadership

In addition to Cowell, XOR's board of directors is composed of a number of
recognized technology industry leaders. The board is chaired by former
Chairman and CEO of SHL Systemhouse John Oltman, who also served as the
worldwide managing partner for systems integration for Andersen Consulting.
Additionally, Oltman is chairman of Evolve Software and vice chairman of Lante
Corp.

Other board members include Bill Lederer (former founder and chairman of
Art.com and general partner, Minotaur Partners, an Internet investment firm);
Paul Carbery (general partner, Frontenac Company, and also a director for
Whittman-Hart/US Web and Lante Corp.); Graham Kemp (former CEO of G2 Research,
which was acquired by the Gartner Group); and James Cowie (general partner,
Frontenac Company and also a director for divine Interventures, Lante and
3Com).

"There are a number of opportunities in the Internet space, but XOR is
bringing together a management team, board of directors and service offerings
that I have not seen any other company assemble," said Cowell. "It was the
opportunity to help guide that combination of leadership, skill and vision
that brought me to XOR's board of directors," he added.
