Oh, IceShark, here you are forcing me to download some 100,000 bits from Edgar. The most recent S-3 (registering the new $1 billion in "combination of debt and equity ???, (you'll find out later what it really is), states the following, $333 billions convertible to about 4 plus MM shares (that is the one going out now), $740 MM convertibles owned by TXN convertible to 12.33 M shares (and this documents does no longer mention the October date, and I think there is nothing that would prevent a "friendly" deal between TXN and MU to make it convertible in the near future), and then TXN and INTC owning MM 44.7 shares(together, but not jointly (G)) not yet registered shares (but for which both have "registration rights".

Do you think that the recent registration may cover some of these shares? By the way, INTC has full rights to transfer ownership of its 15.8 MM class A shares (convertible one for one to common) to a third party (in which case they convert automatically to common shares), meaning, in my book, that INTC is completely free to engage in hedging against these shares (since they can use these as a perfect collateral). If that has not happened yet, it sure should pretty soon, unless, of course, INTC believes its own "party line" that "the semi cycle is only beginning" .
