VRTS buys its own stock back at a discounted price by buying SEG. It also gets the other SEG stockholdings for free.

Wouldn't the SEG shareholders be a heck of a lot better off if SEG just issued the shares directly to the stockholders? They would not only end up with more VRTS stock, but get--for free--the other stockholdings as well.

And what about the value of the drive business itself?

PS--I sold my SEG shares in February (a big mistake, it turned out). But I don't see how current SEG shareholders will benefit from this buyout.

I think the market is saying that this deal is not going to be done as presented. At least I hope not.
