Art, I read it the same way you did. The release was not very clear, but seemed to suggest that VRTS will get the SNDK stake.

In the short term this could help the price of SNDK because Seagate may stop selling shares until the transaction closes. In the longer run it all depends on what VRTS chooses to do. If VRTS has no strong interest in SNDK, SNDK management could help them do private placements into strong hands.

We will all be watching the insider trading reports very carefully.

Art, from the press announcements, it is clear that VRTS will end up owning SEG's SNDK shares. They have also agreed to pay >$1B in cash to SEG's shareholders ... far more than they have in the bank.

You are probably correct is assuming that they will sell all or part of SEG's SNDK shares to help fund the transaction :-(

Art, what is the purpose of a Form S-8?
