Mentor On Call, Inc. Signs Letter of Intent with Avidex.com LOS ANGELES, Apr 3, 2000 (BUSINESS WIRE) -- Mentor On Call, Inc. (OTCBB:MNOC) has entered into a Letter of Intent with Avidex.com to acquire fifty-one percent (51%) of the issued and outstanding shares of Avidex.com and an assignment of its patent pending numbers. Pursuant to the Letter of Intent, which is subject to approval by the corporate attorneys for both parties, Avidex.com will acquire an Exclusive License Back to market the Avidex DVD proprietary product, worldwide and in perpetuity, in consideration of the patent pending assignment. Avidex.com was formed in 1999 as a B2B Application Service Provider to develop and promote a unique Internet technology which enables web based E-learning systems to provide the student user with a high bandwidth experience. Avidex.com's proprietary service package, when marketed to content providers, merges the controllability features possible through the Internet with the delivery capacity of DVD technology. "This is what is required today by Mentor to provide a high quality video product to our subscribers until the Internet has the bandwidth capability of providing cable quality video," said Jim Rodgers, President of Mentor On Call, Inc. Avidex.com fits perfectly with the marketing of the Mentor On Call E-Learning system, he said. "Along with the Avidex.com technology we acquire a fifty-one per cent portion of the positive cash flow of Cell Train, the wholly owned subsidiary of Avidex.com," said Mr. Rodgers. Cell Train has experienced a positive cash flow for a ten year period selling training videos for the cellular communications industry. Positive cash flow is what high technology development companies require to maintain credibility and viability, said Mr. Rodgers. Many companies have jumped on the "Distance Learning" bandwagon and have struggled with ways to utilize the Internet in spite of its bandwidth limitations, said Mr. Rodgers. "Avidex.com addresses the primary limitation in a unique way by providing the video experience through DVD while starting, controlling and administering the DVD and live content via the Internet," he said. ÿÿÿÿ ABOUT AVIDEX.COM Avidex.com allows the distribution of video content that can be integrated within the context of web pages and controlled remotely from a web site, thereby combining the delivery capacity of DVD along with the interactivity of the Internet. Students will experience high quality and interruption free video along with the immediacy of the Web. Avidex.com allows new pricing options, such as pay-per-use and will drastically reduce the potential of piracy through highly sophisticated encryption schemes. It is not cost effective for a content provider to build its own capabilities to support the use of this technology. Avidex.com fills this need by providing a service that handles the billing, authentication, DVD encoding and web hosting necessary for training content providers to profit from this delivery mechanism. The market for Avidex.com are the more than 75,000 corporate training providers in the U.S.A. Of these, approximately 15,000 currently supply video content. This market of video content providers is highly fragmented with providers specializing in particular subjects or markets. Although the advantages of web enabled DVD-ROM are clear, the vast majority of video content providers do not have the resources to independently build their own infrastructures and hire staff to support this technology. ÿÿÿÿ ABOUT MENTOR ON CALL, INC.
