Mentor On Call, Inc. Signs Letter of Intent with Avidex.com

LOS ANGELES, Apr 3, 2000 (BUSINESS WIRE) -- Mentor On Call, Inc. (OTCBB:MNOC)
has entered into a Letter of Intent with Avidex.com to acquire fifty-one percent
(51%) of the issued and outstanding shares of Avidex.com and an assignment of
its patent pending numbers.

Pursuant to the Letter of Intent, which is subject to approval by the corporate
attorneys for both parties, Avidex.com will acquire an Exclusive License Back to
market the Avidex DVD proprietary product, worldwide and in perpetuity, in
consideration of the patent pending assignment.

Avidex.com was formed in 1999 as a B2B Application Service Provider to develop
and promote a unique Internet technology which enables web based E-learning
systems to provide the student user with a high bandwidth experience.

Avidex.com's proprietary service package, when marketed to content providers,
merges the controllability features possible through the Internet with the
delivery capacity of DVD technology.

"This is what is required today by Mentor to provide a high quality video
product to our subscribers until the Internet has the bandwidth capability of
providing cable quality video," said Jim Rodgers, President of Mentor On Call,
Inc. Avidex.com fits perfectly with the marketing of the Mentor On Call

"Along with the Avidex.com technology we acquire a fifty-one per cent portion of

training videos for the cellular communications industry. Positive cash flow is
what high technology development companies require to maintain credibility and

struggled with ways to utilize the Internet in spite of its bandwidth
