Comparing the November proxy for the special meeting with the recent proxy for the annual meeting shows that SEG had sold something like 2/3 of their holdings.

Nov: 6,141,374 (pre-split), equivalent to 12M+ post-split
Mar: 4,082,748 (post-split)

They could also have sold more since then.

Changes for other 5%+ holders indicate that Fidelity and Forstmann-Leff increased their holdings slightly, Denver Investment dropped off the list and American Century appeared. It is possible that there was a rename or a transfer of stock between those two, I didn't look into that.

It is possible that FMR and Forstmann bought shares from SEG privately.

The simplest thing to do would be to ask VRTS how many SNDK shares SEG has now and whether SEG has agreed not to sell any more before the VRTS transaction closes. IR would probably not have this info. Does anyone have a suitable contact at VRTS who could oblige?
