GDSA - Goldstate Corp. to Acquire Two Companies in Health Care Industry

LAS VEGAS--(BUSINESS WIRE)--March 31, 2000--Goldstate
Corporation (OTCBB:GDSA) is pleased to announce it has reached an
agreement by signing a letter of intent to acquire of 100% of the
issued and outstanding shares of National Care Card, ("NCC"), a
Washington registered company. Under terms of the agreement
Goldstate Corporation will issue the shareholders of NCC, 700,000
restricted common shares and invest up to $4,000,000 in the project.
NCC is a USA-based discount health care organization to be launched
in the second quarter of 2000. NCC is based on a successful
healthcare program, Washington Health Card, LLC, (WHC), a Washington
Limited Liability Corporation, launched in February, 2000, by
Northwest Capital Holdings. Northwest Capital Holdings, through its
subsidiary, NorthwestOne (www.northwestone.com), provides an
extensive network of health care professionals and services to
Washington residents.
Goldstate Corporation has further signed a letter of intent to
purchase 50% of the issued and outstanding shares of Washington
Health Card (WHC) by issuing the shareholders 250,000 restricted
common shares, and investing up to $1,000,000. Goldstate Corporation
has a one-year option to purchase the remaining 50% of the issued and
outstanding shares of WHC by paying $1,000,000 to the shareholders.
WHC (www.washingtonhealthcard.com) is a Preferred Provider
Organization (PPO) in Washington State, offering significantly
discounted rates on health services to individuals who do not have
health insurance, but do have the ability to pay for their own care.
WHC allows individuals and dependents the ability to save up to 60%
on health-care services throughout Washington state. WHC consists of
over 5,000 physicians, 27 hospitals and over 1,050 pharmacies, Vista
optical locations, and countless other medical providers statewide.
Washington Health Card was founded on the belief that individuals
and families who do not have access to affordable individual health
insurance coverage shouldn't have to pay full price for medical
services out of their own pocket. WHC allows for individuals to take
control over the rising costs of health care through an innovative
approach that provides employees, individuals and families an
alternative to full-billed charges and high insurance premiums.
Washington Health Card is a Limited Liability Company with its
operations center located in Everett, Washington.
