Would somebody on this thread please fill me in on the consensus reason why Tyco is doing the IPO in TyCom?

As far as I can tell from the S-1, Tyco will get an immediate $600,000,000 dividend from TyCom, which just happens to be the approximate amount of advances from Tycom to Tyco on the balance sheet. I imagine the money will be used to repay the advances thereby strengthening its balance sheet while still retaining control.

Any other views?
