I'm no tax expert, so don't laugh when I make this suggestion: Why couldn't VRTS acquire ALL of SEG and SEG shareholders get a more "equitable" amount of VRTS shares in exchange for their SEG shares? Then if VRTS were to do a "carve-out" of the disk drive business, shareholders would benefit by getting additional shares of the NEW company. (I have no idea what the tax ramifications of this would be, but it sounds good to me.)
