What is the reason to replace present management other than finding a group who will spend (steal) the cash more rapidly than current management? Who is going to provide some value to the shareholders? The gold properties are not going to make it but I've harped on this long ago when nobody would listen. Who is going to provide the value? There is no point in getting a proxy together without a plan that makes sense.
