The problem IMO is.....but in the GAAP rules which make those methods more attractive than straight incentive bonuses from a tax and income perspective. Change the rules and they would change the game.

However, that doesn't absolve MSFT from making full disclosure of it liabilities due to having 800 million more of these options outstanding.

I'm a big believer in ISOs, or employee discounted stock plans (where they can directly buy stock for a discount from the company) as it tends to make the employee a longer term shareholder (no cap gains upon exercising of the option into common).

NQs generally are exercised as a means of augmenting income... the option is exercised and the stock almost immediately sold into the market.

Btw, no need to respond unless you wish to. I just poked my head out here to put my comments on the "public record", not necessarily to engage in an extended debate (although I have enjoyed the exchange of ideas as well).
