Robert, There are items such as reasonable basis, equitable dissemination, etc. You could get a sense from the article that Blodget tells his institutional clients what he really thinks, but doesn't necessarily convey the same message in print. Also you get the sense that he informed money managers of his recent AMZN upgrade prior to that info being disseminated to the ML client base.

Upgrading a stock to a near-term Buy is not always automatic at ML. Usually you have to get a research director to approve and also make sure there are no investment banking issues. But most of the time, the equity marketing people are dying for new Buy ratings. I know of several ML instances where the intended opinion at 8pm in the evening differed from the one finally issued at 7:00am the next morning. In those cases, downgrades/upgrades were muted or strengthened.
