Gus, thanks so much for you always thoughtful response and the link to the very, very interesting article. I did not know about the shareholders' rights by-law. I noticed the article was dated February 1998; so, I take it Delaware still does not recognize the legality of the by-law? Hopefully the SEC is being inundated with complaint forms from disgruntled SEG investors. I wish I'd read your post and the article before I sent mine in - I would have surely referred to the by-law.
