John, a paraphrase of the article:

GTE and Bell Atlantic merger is under pressure to spin-off the unit as a public company to comply with the FCC regulators. They wish to retain 10% ownership and a right to buy more shares back in 5 years with an option to own 80%. This is not being recieved well.

But essentially it would be free as a stand alone public company.

A ruling on the merger is due in July...., so there would be no spin-off until that merger is allowed.

If approved and the spin-off Genuity will become more aggressive as a player, upgrade its Internet backbone services to handle the heavy demands of video signals to homes via cable modems and high speed phone lines. Clients for these services are Yahoo and GE's NBC Interactive.
