U.S. Interactive to follow up with 2.5 mln shares

NEW YORK, April 12 (Reuters) - U.S. Interactive Inc. (NasdaqNM:USIT - news), an
Internet professional services firm, said Wednesday it filed to sell 2.5 million shares of
common stock at $19.625 per share.

The Philadelphia-based company, which has about 750 employees in 15 locations around
the world, said the offering includes 225,443 shares by certain stockholders.

Last month, U.S. Interactive said it would net about $80 million when it filed to sell 3 million shares of common stock along
with about 200,000 shares from one of its shareholders.

The company said it planned to use proceeds from the follow-on offering for repayment of debt, capital expenditures,
expansion of facilities, and general corporate purposes.

After the newest offering, U.S. Interactive will have more than 28 million shares outstanding.

U.S. Interactive shares followed the broader market down Wednesday, finishing off 2-9/16 at 17-1/16. The stock has a
52-week high of 92 and a 52-week low of 9-3/4.
