LSI Logic to Acquire Engineering Development Team and Intellectual Property From NeoMagic

MILPITAS, Calif., April 14 /PRNewswire/ -- LSI Logic Corporation (NYSE: LSI) and NeoMagic Corporation (Nasdaq: NMGC) today announced an agreement in which LSI Logic will acquire NeoMagic's optical read-channel mixed-signal design team and RF intellectual property for use in high-volume communications solutions. The purchase agreement is valued at approximately $14.5 million.

Through this acquisition, LSI Logic will gain the expertise of about 40 engineers based in Manchester, U.K. and Santa Clara, CA and the rights to relevant mixed signal patents. LSI Logic will also acquire NeoMagic's RF intellectual property for incorporation into set-top boxes, DVD players and other applications.

The companies anticipate closing the transaction by the end of April within NeoMagic's current fiscal quarter.* NeoMagic announced that its DVD drive electronics product line was for sale in its latest earnings announcement on February 17.

"We view this acquisition as a tremendous opportunity to enhance our mixed-signal capability to further our strong position in the rapidly growing communications space," said John Daane, LSI Logic executive vice president of the Communications Products Group. "We will utilize the engineering team and the RF technology to better serve our high-volume customers in the fast growing global communications market."

"Through the completion of this transaction with LSI Logic, NeoMagic will focus on providing low power semiconductor solutions for mobile platforms, using our MagicWare(TM) technology," said Prakash Agarwal, NeoMagic president and CEO. "This agreement will be beneficial to the interests of both NeoMagic and LSI Logic."

Dipy: I am hardly sanguine about the tech market, but a sixty percent retrenchment off of the highs would be amazing. I understand the reasoning because of the excessive valuations, but you are still looking at companies that are experiencing hyper growth in the near future--MSFT, INTC, QCOM, CSCO, SUNW etc. One of those companies SUNW reported its best quarter ever just yesterday.

Could the NAZ hit the 2000s again? Absolutely.

Plain and simple, the cynics of the greatest tech boom in history have missed out on the greatest opportunity of investment that have ever been afforded in the American stock market.
