LPTHA--(MORE) DOW JONES NEWS 04-17-00 08:50 AM DJ LightPath Buy -2: To Issue 1.2M Class A Shrs >LPTHA ALBUQUERQUE, N.M. (Dow Jones)--LightPath Technologies Inc. (LPTHA) acquired Horizon Photonics Inc., a California-based optical communications company, for $36.2 million in cash and stock. In a press release Monday, LightPath said the cash portion of the deal totaled $1 million and LightPath will issue about 1.2 million shares of Class A common stock. The company also said it has called for the redemption of all outstanding Class B warrants at a date not yet determined but prior to May 15. About 2.8 million Class B warrants are outstanding worth $23 million. The Horizon deal will be reported by purchase accounting and will result in amortized goodwill over the short-term. LightPath will expense in-process research and development at the time of acquisition. All amounts will appear beginning in the fourth quarter. Shares of LightPath traded recently at 16 3/8, up 3/4, 4.8%, on Nasdaq volume of 1.07 million shares. Average daily volume is 794,115.
