Management wants the flexibility to raise capital, similar to the shelf registration to sell more shares. The market conditions will dictate how much is distributed and how much is offered inb the IPO.

registration statement as to the treatment of the shares ">> I have seen the same language more than once. Check COMS/PALm and it is almost verbatum. It will come but much of the timing is dependent on many different items such as taxes etc..
