Comdisco holders approve plans for tracking stock

ROSEMONT, Ill., April 20 (Reuters) - Technology group Comdisco Inc. (NYSE:CDO - news) on Thursday said its
shareholders voted to approve the company's proposal to amend its articles of incorporation to create a tracking stock that will
reflect the economic performance of Comdisco's venture financing business.

The company said about 80 percent of the shares that were voted approved the proposal. More than 57 percent of the
outstanding shares voted in favour of the proposal.

As part of this proposal, shareholders also approved an amendment to authorise the issuance of multiple series of common stock, increase the number of common
shares authorised to 1.80 billion from 750 million, establish a stock incentive plan for Comdisco Ventures' management, and revise certain existing Comdisco stock
plans to allow the issuance of Comdisco Ventures tracking stock.
