After giving it some thought,
I'm not sure I support the concept of a poison pill plan.
It is great for management and insiders but really does
nothing for common shareholders. It basically eliminates
the "option" of the company being taken over to realize
its' immediate intrinsic value. Having worked with very
high level management, in my past company at various times,
it has become painfully obvious with me that they always
take 75% of the cream off the top (even if they only own 5-10% of the shares)and leave the rest for the shareholders to
divvy up. According to what we've seen about Annunziata's compensation for being in control only for about a year it appears that upper management is way over-compensated at the expense of the common share holders. These guys make tons of money regardless of how the company does. I favor merit based compensation with some "strings" to insure
that shareholder rights are protected. A poison pill
does nothing for me or other shareholders.
