JDN, Consider that for a "hostile" takeover to occur that the shareholders must vote as a majority, and have a somewhat united voice to insure management has their best interests in mind. A poison pill basically takes that right away from shareholders. This is one of the reasons I am against the "blank check" proxy as it is presented as it gives the board and management unlimited control. Once the shareholders lose any semblance of control they can never get it back. BB
