JDN,
You are right and I understand that fully. I readily
accept that those with the largest stake should have
the largest voice, and voting rights. My point being
that majority rules, it is the counter balance to
total management control at the expense of investors.

You do realize that members of the Board of Directors
receive extremely nice compensation in the form of options and salary,and usually receive retirement benefits for
sitting on the board. Most board members sit on multiple
companies and receive this compensation from each one.
I should be so lucky. I just want "fair" representation for
investors best interests, not just managements' best
interests when confronting the possibility of a potential
sale of the company.
