Technically, you get the spoils of the business. At one time, that would have meant the dividends.

No question, there are conflicts of interest at every turn. However, look at the Sprint PCS example. When WCOM bid for FON, they offered a new tracking stock for PCS shares plus .11xx shares(adjusted for 3/2 WCOM and 2/1 PCS) of WCOM as a premium.

No need to go further. I agree with you in principle, with notable exceptions.
