Cayman Is. take control of two suspect companies


GEORGE TOWN, Cayman Islands, April 27 (Reuters) - The Cayman Islands government has taken control of two companies suspected of being involved in a $300 million alleged pyramid scheme run by jailed Florida businessman Michael Gause.

The government announced on Wednesday that it had appointed James Cleaver of accountants Ernst and Young to take control of Everest Management Ltd. and Zephyr International Ltd. The two firms manage offshore companies and accounts for overseas investors.

Cleaver stressed the companies will continue to operate on a daily basis and have not been placed into receivership. Cleaver added that his brief from government is to run the companies and also prepare a report on their involvement, if any, with the ``Cash for Title'' pyramid scheme allegedly run by Gause in 17 states in the United States.

Cayman Islands crown counsel Stephen Hall-Jones said Cayman officials are cooperating fully with the U.S. investigation into Gause and his overseas companies. He said some companies involved in the Cash For Title matter were managed by Zephyr and Everest.

Several companies Gause allegedly controlled were registered in the Cayman Islands and run by Everest and Zephyr.

Gause was arrested on Oct. 15 last year in Ft. Lauderdale and originally claimed he was a Caymanian citizen. He is currently being held without bond in a New York jail awaiting trial on securities fraud, money laundering and conspiracy in connection with the scheme which allegedly brought in more than $300 million from investors.

The indictment from the U.S. Attorney's office in New York against Gause alleges that he laundered some $24.5 million through the Cayman companies he controlled and his bank account at the Bank of Bermuda in the Cayman Islands.

Gause promised high rates of return to investors in a plan to make high-interest loans on car titles. However, authorities have charged that Gause diverted the money to two companies and ultimately channelled it back to himself.

Located in the western Caribbean, the Cayman Islands have 590 registered banks and financial institutions and is one of the world's leading offshore financial centres. In recent years, the islands have passed numerous banking laws designed to fight not just drug money, but proceeds of any type of crime committed in other jurisdictions from being deposited in the Cayman Islands.

Frank, even if OTC-BB has made a mistake, ZSUN has PASSED, IMO...

and I don't see this being taken back, as there could be immediate Lawsuits against them... The list was published on 24th April and there are no correction 2 days later, after all the phone calls made by the SHORTER/BASHERS to the OTC-BB... This means, IMO that the PASS will remain and they'll just have to list the correct Cusip # and revert to the current symbol... BTW, ZYTECH is NOT ELIGIBLE, so there can't be any confusion between the 2 Companies...

My conclusion is based on the last 10sb filed by ZSUN on 4/24/2000. It is hopeless. If ZSUN files a new 10sb that incorporates all my critiques, I will change my position.

I have involved in investigation of fraudulent financial reporting. I know where to look. Just call your bosses and you will be surprised to discover the similarity between my critiques and SEC?s comments. Your bosses are smart. They have figured out what I am.

Why am I here? First, you must realize that a publicly held company is subject to the scrutiny by the general public. It does not make any differences whether a critique has or has no position in a particular stock. ZSUN can always go private if it does not like to be scrutinized. Second, when I first posted my message No. 4670 on July 4, 1999, I was insulted by Francois Goelo. He continuously threatened me with physical violence and litigation. Any American will be very furious if a thug intimidates him on the issue of freedom of speech given by our founding fathers on the independence day.

Therefore, under the terms and conditions of the amended earn-out
agreement, the former OIA shareholders will only receive 9,820,152 shares,

this is the value that will be added to the Company's balance sheet going
forward from April 1, 2000.
