This provides the company the opportunity not only to build one of the strongest and most comprehensive teams in the industry, but also to broker their services in a business to business capacity to all of the other "booking" sites that are incapable of offering such a complete suite of services.

Developments:

On February 11, the company announced the formation of a new ecommerce division. What began as the development of software to allow eTravelserve.com to auction vacations, trips, and travel packages to its customers has evolved into a whole separate division for the company. eAuctionserve.com is developing into its own proprietary site that will offer goods and services such as automobiles, insurance, etc. on an auction basis to the consumer, in addition to travel-related products. The eAuctionserve.com site is designed to "private label" auction services for ecommerce. That is, it will provide auction services specific to those companies that do not have the technology or expertise to host their own auctions. These sites will be specific to the company, such as sporting goods, tools and equipment, appliances, and more. Any product or service that a company would desire to have promoted on its own auction site will be possible. The development of the auction software will allow eTravelserve to offer "travel specific" products and services on an auction basis, while allowing the new division, eAuctionserve.com to pursue a separate line of revenue and growth.

Strategy and Initiatives:

Paul Johnson, President and CEO of eTravelserve.com points out that, "Many Internet companies have shown weakness because of their inability to breakout beyond the direct consumer markets and demonstrate revenues and cash flow. ETravelserve.com's strategy is to build a foundation of solid revenues and cash flow and then aggressively position ourselves not only within the general consumer Internet market, but also offer our services to the business markets such as organizations and other travel firms." To this end, the company has adopted an aggressive acquisition strategy and has announced the opening of the newest division, Preferred Charters and Incentives.

"The new division has been designed to provide full service charter packages to corporations and organizations for company trips and or fundraisers. Many groups are using travel to help promote their organizations and need the expertise of professionals to handle the details. The purpose of Preferred Charters and Incentives is to fill that void," said Johnson. The new division will add significant travel industry sales to the network, as well as enhance relationships with travel providers and provide access to promote eTravelserve.com to the membership of these organizations. As recently as April 11, 2000, Preferred Charters and Incentives signed an agreement for a "full ship" charter with Florida International University for approximately $2.6 million. This is the first of many agreements that are being worked on, and provide an excellent example for which the new division was designed.

Recent acquisitions include Preferred Travel, which will add approximately $7 million in travel industry sales to the network, Journey's Unlimited, which had approximately $2.5 million in travel industry sales last year, and Swan Travel & Tours, which brings an additional $2.5 million to the eTravelserve.com network. These acquisitions and plans to close upon other strategic well-established travel firms over the next quarter are expected to add in excess of $100 million in travel industry sales. ETravelserve.com can use these large bookings and travel industry sales to help negotiate and position the company for discounts, partnerships, and advertising concessions with national travel providers.

Advantages:

Having an effective and experienced management team, advisory board, and sponsorship is essential for the future growth and development of a company and the achievement of its goals. In late January 2000, Joseph Antonini, former Chairman, President and CEO of K-Mart joined the advisory board of the company.
