Arrangement

Toronto, Ontario, Apr. 27, 2000 (Market News Publishing via COMTEX) --
Shareholders of Nortel Networks Corporation ("Nortel") (Symbol: NT) have
approved a Plan of Arrangement (the "Arrangement") which is more fully described
in the Notice of Application and Joint Arrangement Circular of Nortel and BCE
Inc. If the Arrangement becomes effective prior to the opening on May 1, 2000 as
proposed:

(i) the common shares of Nortel will be exchanged on a one-for-one basis for the
common shares of a new corporation named Nortel Networks Corporation ("New
Nortel"); and

(ii) New Nortel common shares held as of record at the close of business on May
5, 2000 will be subdivided on a two-for-one basis.


In anticipation of the Arrangement becoming effective as proposed, the following
changes will be made in the stock list effective at the opening on May 1, 2000:

Listing of New Nortel 1. The common shares of New Nortel will be listed and
posted for trading in substitution for the common shares of Nortel (which
presently trade under the CUSIP 656569 10 0) under the same name, Nortel
Networks Corporation, and the same symbol NT but under the new CUSIP 656568 10
2. Common share certificates of Nortel will continue to represent common shares
of New Nortel until replaced against transfer.

Trading in the common shares of New Nortel on May 1 and 2, 2000 will be on a
non-subdivided basis. Commencing at the opening on May 3, 2000, the common
shares of New Nortel will be traded on a two-for-one subdivided basis.

New Nortel - "When Issued" Market 2. In addition to the non-subdivided market
for New Nortel common shares under the symbol NT that is described above, the
common shares of New Nortel will commence trading on a "when issued" two-for-one
subdivided basis under the trading information set out below. This
post-subdivision "when issued" New Nortel common share market will be in place
for May 1 and 2 and and will be delisted after the close on May 2, 2000.
Thereafter, trading in the two-for-one subdivided common shares of New Nortel
will continue exclusively under the stock symbol NT and CUSIP 656568 10 2.

New Nortel - When issued Stock Symbol: NT.W; CUSIP: 656568 99 5 Designated

Settlement: All trades in NT.W on May 1 and 2 will be for

special

settlement on May 8, 2000 and will appear on the Settlement Report from CDS. All
transactions in NT.W will be binding, as it is anticipated that the Arrangement
will already be effective at the time such trades occur. The market in NT.W will
be delisted after the close of business on May 2, 2000.

Parties who will hold New Nortel common shares pursuant to the Arrangement (or
who are entitled to receive New Nortel common shares under a legally binding
contract) may sell such securities in the NT.W market without being subject to
restrictions on short sales. Parties who do not hold common shares of New Nortel
(or who are not entitled to receive such common shares pursuant to the
Arrangement or pursuant to a legally binding contract) must comply with the
short sale rule in all respects for any sales they make in the NT.W market.

Name Change - Preferred Shares 3. The Class A Preferred Shares, Series 5
(Symbol: NT.PR.F) and Class A Preferred Shares, Series 7 (Symbol: NT.PR.G) of
Nortel Networks Corporation will be posted for trading under the new name Nortel
Networks Limited, the new stock symbols set out below and the CUSIP numbers set
out below. This name change will not result in any change to the CUSIP numbers
currently used for these securities.
