If you checked the yahoo profile, you would discover that ZSUN hit 52-week low of $5.5 on April 17, 2000. The price also recorded in every quote server. However, ZSUN has not been traded that low through the market makers to the general public. ZSUN have been traded between $8-10 during April.

This means that someone probably negotiated a discount price of $5.5 with market makers secretly and dumped a huge block to the market makers. The market makers then started releasing those shares back to the general public gradually. I wonder whether the party who unloaded the shares knew that the E was coming.

Yes, it is totally legal as long as the party does not sell the stock with inside information.

I just don't like the whole episode. ZSUN knew the disapproval of 10sb version 4 from SEC around April 14, 2000. Somebody sold a big block to market makers for $5.5 outside the regular session on 4/17/2000. Stockreporter issued a strong buy recommendation with target-price of $28.5 on 4/20/2000. ZSUN filed 10sb version 5 on 4/24/2000. There were too many coincidences.

SEC might like to look the matter in depth.
