C-Cube Announces Lower-Than-Anticipated Financing
MILPITAS, Calif.--(BUSINESS WIRE)--May 8, 2000--C-Cube Microsystems (Nasdaq:CUBED - news), previously C-Cube Semiconductor Inc., today announced a plan to finance its lower-than-anticipated spin-off taxes.

The spin-off created a tax obligation of approximately $319 million as calculated under the tax-sharing agreement between C-Cube and Harmonic. The tax was determined by the volume weighted-average trading price of each C-Cube share - $21.74 - on the first day after the distribution. C-Cube, which has cash reserves of $314 million, plans to raise $40 million to give the company sufficient operating cash.

Under the terms of the agreement between C-Cube and Harmonic, stockholders of the former C-Cube Microsystems received - for each share - one share of stock in the spun-off C-Cube and 0.5427 shares of Harmonic stock in a tax-free exchange.
