Conference Call Announcement Calendar Year 1999 Operating Results Monday, April 3, 2000 4:00 PM EST Mike Morrell Overview of Operations & 1999 Results - Each business was profitable for 1999; - Rolled out EHC units. "Orders" for over 100,000 worldwide in pipeline in less than 6 months (real number is closer to 120,000); - Production expected to begin in August or September 2000; - Minimum 60,000 China; 10,000 in Taiwan; 35,000-40,000 in U.S.; - CYBR expects to be rolling out products in U.S. as early as Q3 or early Q4; - market acceptance for the EHC has been "phenomenal"; Scope of Existing Orders - Over $400M-$500M in recurring revenue on exiting orders; - launch time: end of Q2 or beginning Q3; - all businesses have become profitable at the same time; - CYBR will become operationally focused on EHC unit; get roll-out done, marketing, FDA approval, etc. - In heavy negotiations for selling-off or spinning-off the other 3 operating divisions; - Offers in excess of over $25M for Rehab business, over $25M for Air Ambulance, over $10M for ePharmacy, received; Operating Results Mike briefly reviewed the 1999 operating results but emphasized that the business is now forward-looking centered around the EHC units. Questions & Answers: What is status of FDA approval? Expected by end of April. No apparent issues; What is status of NMS? SEC was waiting for the 10K Registration Statement which was filed with the SEC today. Listing expected shortly. Ingringements & License Agreements - Haven't found any infringements to date... "but looking"; - 4 or 5 major license agreements on the table in final stages of negotiations. News expected on this front shortly; Any patent infringements to date? Not currently. Looking at insurance coverage to provide for litigation costs in the event of infringement; What is status of U.S. manufacturer? Announcement expected shortly for U.S. manufacturer. There are currently 6 or 7 manufacturers who want to manufacture the CYBR EHC units. Not an issue; What is the Canadian market potential? Very promising market. Mentioned Nortel and Sick Children's Hospital; Mike Morrell mentioned how knowledgeable the Canadian shareholders are of the telemedicine industry and its potential; Strategic Alliances - Mike also announced that there will be "very significant" strategic alliances announced very shortly; - At least 5 in the pipeline in both the telemedicine and software businesses; - Mike says they are "very close" to closing strategic alliance agreements with very impressive U.S. partners; Business Model - $5,000/unit + $280/mo. recurring revenue (net-net to CYBR will be $200/mo. in recurring revenue... indefinitely. - Units will be sold to finance or leasing companies and the mamaged-care providers will finance purchases through the financing companies; - Managed-Care companies will be providing the professional health care services directly rather than CYBR providing the services; Cost Savings - Iowa University Study - 36% cost savings (including monitoring expenses). This was a very significant study. Cyber-Care Vision To grow the recurring revenues. CYBR does not want to be in the "box" building business and is looking at outsourcing the manufacture of the units to a third party. Barry Corker, Raymond James Financial: - SIIC relates only to China. Excluded Taiwan, Japan, Australia, New Zealand, and India from the SIIC deal; Analyst from Payne, Weber: Acknowledged good work in North America and Asia. Asked about Europe. Mike admitted CYBR is a little behind the curve in Europe. CYBR is in the enviable position of having several European partners to choose from. They want to be sure they choose the right partner. Asked about stock coverage? - Mike said that there are a number of "big guys" looking very closely at CYBR... very impressive. Market Manipulation & NMS Listing - In answer to a question from one broker, Mike admits there has been some manipulation but is not worried because they have a good story; - Mentioned ING Baring & NMS Listing should improve the stock situation considerably... "poised to make a quantum leap"; - Mike's answer: stay focused on building the recurring revenues and leveraging its strategic relationships. HMO Exposure - Mike reviewed the stats: 1% of patients spend 35% of the health care $$; - CYBR is a globally focuses company with enormous U.S. potential.
