Darnley Bay arranges financing

The company has negotiated, subject to regulatory acceptance, a private
placement of $300,000 consisting of 141,510 special warrants at a price of
$2.12 per special warrant. Each special warrant is exchangeable into one
common share and one share purchase warrant, with each share purchase
warrant to entitle the holder to purchase one additional (flow-through)
common share at a price of $2.50 up to May 11, 2001.
The funds from this private placement of special warrants will be released
to the company on the closing of the private placement and will not be held
in escrow until a receipt is issued for a prospectus qualifying the
underlying securities. The special warrants do not include any penalty
clauses.
The proceeds of this private placement will be used for working capital and
to explore the company's resource property at Paulatuk, Northwest
Territories.

Drilling is continued on the Thrasher zone with the expected target being a
mafic-ultramafic igneous intrusive, the host rock for major deposits of
nickel, copper and platinum group elements. The current drilling, at about
1,500 metres, has not yet intersected the target. The advice of
geophysicists and other consultants is to continue drilling to the capacity
of the rig (2,000 metres). Geological and structural information obtained
from the drilling will assist the company in the selection of future drill
sites.
Although not contemplated by the company in its initial exploration
objective, current exploration revealed several interesting magnetic
anomalies which strongly suggest the presence of kimberlite, the host rock
for diamonds. This possibility is supported by a number of till samples
collected last fall which were analyzed by De Beers, disclosing kimberlitic
indicator minerals and two diamonds. The company recently conducted ground
geophysics on two specific sites and found strong evidence for the presence
of kimberlite pipes. The company plans drilling these targets and believes
that there is an excellent chance of finding diamondiferous pipe locations.
The company is proceeding on both exploration fronts.
