When a student has repeated the same class seven times and finally received a C in that course, he has nothing to celebrate.

One must realize that the cash position will be slashed by half after the OIA payoff. OIA's before-tax profit in 1999 was $6 million. OIA's fair share of unallocated G&A was about $1 million. Therefore, OIA's after tax contribution to ZSUN's bottom line was about $3 million in 1999. The $6 million payoff is equivalent to two years' contributions of OIA to ZSUN. The $111.7 million of goodwill is equivalent to 37 years' contributions. In other words, the OIA shareholders will take all their money back in the next 39 years. Yes, OIA did an excellent job in 1999. However, do you have the patience to wait for 39 years before your can rip your share of the fruits?
