Yes. The sale of either one would result in a retroactive tax bill. Usually you can get by with 6 months if the transaction was not thought about at the time of the spin, depending on the rationale for the spin. There will be a indemnity document where PALM will indemnify COMS for taxes which would become due if PALM did something to affect tax situation.

Andre, With respect to the acquisition of Coms after the spin-off under the tax free status, I'm not sure how that status applies. You may have a valid point there that I was unaware of. I would appreciate any further information to that area.
