This post by Gary Brack several months ago provided the most detailed info on this subject. It was an article by Robert Willens, an accountant/tax specialist at Lehman, who concluded that 3Com had to wait until 2000 to spin off Palm, and that a corporate aquirer of 3Com within a two year period subsequent to the date of the spin off would essentially have to swallow the tax on the Palm distribution:

The tax aspect is described as a two year "poison pill" which will deter any takeover of COMS for two years.
