Why should IBM be concerned? For $2 billion they could buy SEG and be a crucial supplier for EMC. On the side they would get $800 million cash, the $350 million investment SEG just made in XIOtech, a business software business, a tape drive business, a research department, a desktop drive business and lose a competitor that has them badly beaten in market share.

If $2 billion sounds like too much maybe they could offer SEG shareholders $6 per share ($1.4 billion) for all that and also get holdings of SanDisk, Gadzoox, Dragon Systems and an estimated $500 million cash above the $800 million previously mentioned. Then EMC would buy from them.
