Re: Dave Young When one calls ABFG for information they get someone by the name of Dave Young. Is he just some hired hand to take investor calls or is something more, much more: a longtime partner of Gerald Sklar? Let's check the record. According to Stockwatch, Gerald E. Sklar participated in the following publicly traded Canadian companies: Sklar Gerald E - Dexx Energy Corp - Intercontinental Ventures Ltd - Manticore Petroleum Corp According to Stockwatch, Dave Young participated in the following publicly traded Canadian companies: Young David M D Dexx Energy Corp - is a former director of Co - became a director of Co 1990/07 - became a former director of Co 1992/02 Intercontinental Ventures Ltd - is a director of Co - became a former director of Co 1991/03 ===== So the evidence shows Sklar and Young have been jointly associated with at least two other companies, and in positions of authority. But how far back does their relationship go? According to Stockwatch, perhaps as far back as 1988: INQ - Intercontinental Ventures Ltd Company info: Sector: Shares issued: 1,674,750 Exchanges: 04/30/88 working cap $68,000.00 Address: 510 - 900 6th Ave S W Calgary AB T2P 3K2 Phone Directors of Intercontinental Ventures Ltd Ainbinder Robert - became a director of Co 1991/03 Badyal Jit Singh - became a director of Co 1991/03 Badyal Taj Singh - became a director of Co 1991/03 Participants involved with Intercontinental Ventures Ltd AEL - sold an asset to a vendor to Co Ainbinder Robert - became a director of Co 1991/03 Bader Rudolf - has acted as a finder for Co Badyal Jit Singh - became a director of Co 1991/03 Badyal Taj Singh - became a director of Co 1991/03 Cyrany George Vaclav - is a former director of Co D'Eon Anthony Charles - is a former director of Co GOLDEN HINDE MIN - sold an asset to a vendor to Co Guppy Walter - sold an asset to a vendor to Co Janda Lakhwinder (Lucky) - is a director of Co - became a former director of Co 1991/03 MEDITERRANEAN VENT - was disclosed as a shareholder of Co 1991/03 Novak Joseph Richard - is or has been a shareholder of Co - became a director of Co 1987/06 - became a former director of Co 1991/03 - was disclosed as a former shareholder of Co 1991/03 Quitzau Hans Wilhelm - is a former director of Co Sklar Gerald E - is a director of Co - became a former director of Co 1991/03 TAM - was a vendor to Co - is or has been a joint venturer with Co Wilson Alan D - is a director of Co - became a former director of Co 1991/03 Young David M D - is a director of Co - became a former director of Co 1991/03 ----- DXX - Dexx Energy Corp Company info: Sector: Shares issued: 19,885,033 Exchanges: 09/30/91 working cap ($237,000.00) Address: 510 - 900 6th Ave SW Calgary AB T2P 3K2 Phone 403 299 0910 Company Website: pcdocs.com Directors of Dexx Energy Corp Corline Richard J - became a director of Co 1992/02 DeJong Wes - is or has been a shareholder of Co - became a director of Co 1989/06 Houston C M - became a director of Co 1989/06 - Janda Lakhwinder (Lucky) - became a director of Co 1987/06 Kahurchuk William - became a director of Co 1988/05 Ladd Dennis - became a director of Co 1989/03 Sikkma David E - became a director of Co 1991/03 Sopczak Victor - became a director of Co 1988/05 Participants involved with Dexx Energy Corp 359347 AB - was disclosed as a shareholder of Co 1991/11 361650 AB - is or has been a shareholder of Co 386580 AB - bought a private placement in Co 1990/09 - was disclosed as a shareholder of Co 1991/03 Corline Richard J - became a director of Co 1992/02 DeJong Wes - is or has been a shareholder of Co - became a director of Co 1989/06 DIVERSITY CAPITAL CORP - was disclosed as a joint venturer with Co 1990/01 - was disclosed as an investment of Co 1990/01 EASTEX LAND - is or has been a shareholder of Co EASTEX RES - is or has been a shareholder of Co - was a vendor to Co EXCEL TRANSCONTINENTAL CORP - was disclosed as an investment of Co 1990/03 - bought an asset from Co 1990/03 - was disclosed as a joint venturer with Co 1990/03 FALCON ENERGY - was a vendor to Co - is or has been a shareholder of Co Fenton Marjorie A - is or has been an officer of Co Gariepy Dennis J - was disclosed as an officer of Co 1992/10 Houston C M - became a director of Co 1989/06 Janda Lakhwinder (Lucky) - became a director of Co 1987/06 Kahurchuk William - became a director of Co 1988/05 KELLER IND - was disclosed as a shareholder of Co 1992/07 Ladd Dennis - became a director of Co 1989/03 Love Richie B - is a former director of Co Mackenzie Donald C - is a former director of Co MANTICORE PETROLEUM CORP - Predecessor Company 1988/05 Maxwell Donald C - is a director of Co - became a former director of Co 1992/02 McCandless H A - is a former director of Co Morrison D A - is a director of Co - became a former director of Co 1991/03 SESTINA RES - is or has been a shareholder of Co - was a vendor to Co Sikkma David E - became a director of Co 1991/03 Sklar Gerald E - is a former director of Co Sopczak Victor - became a director of Co 1988/05 Szakaly G - is a director of Co - became a former director of Co 1991/03 Young David M D - is a former director of Co - became a director of Co 1990/07 - became a former director of Co 1992/02 ===== So, what became of Intercontinental and Dexx? Well... Sklar and Intercontinental Ventures: "...in May 1989, the commission found the news releases to be false and misleading.... Later, after he knew the information was false, he failed to act honestly... Sklar is also prohibited from acting as a director or officer of a public company for three years and will be required to pay costs of the hearing." #reply-8901886 Slar and Manticore/Dexx: "The company also reports that effective March 23 1989, it has accepted the resignations of David M.D. Young, Gerald E. Sklar and Richie B. Love as directors of the company." #reply-8903408 Also note a Dexx participant named Falcon Energy. Remember this from the recent Form 10? Note: Trikal is yet another failed Sklar company. In November 1999, the Company issued 2,358,000 Shares of Common stock to Falcon Energy of Illinois, Inc. (Falcon). This issue was part of an unfilled issue. On December 30, 1998, Trikal International Management, Limited ("Trikal") subscribed for 3,858,000 shares of the Company's common stock for $.069 per share. This subscription was made pursuant to an agreement with Falcon Energy of Illinois ("Falcon") whereby Trikal would subscribe and have the Shares registered in the name of Falcon in consideration and satisfaction of a debt owed by Trikal to Falcon of $266,100. This debt is reflected in a Promissory Noted dated November 6, 1998. The Company subsequently issued 1.5 million Shares leaving a balance of 2,358,000 which should have been issued as part of the original subscription which was made pursuant to Rule 504 of Regulation D. Sometimes the more things change the more they stay the same. ===== - Jeff
