johnd--Check our SEC ASR No. 146. There are exceptions for a "systematic pattern" of repurchases that was begun more than 2 years before the merger if it was done for a valid purpose like having shares for stock option exercises. I don't think that rule applies for the post-closing period. It would be nice if an accountant who knows more about pooling than me could post an opinion here.
